Terms of Service

1. Acceptance of Terms

By accessing or using the Shkeme Inc. platform ("Shkeme", "we", "us", or "our"), including our website, mobile application, and smart contracts (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our Services.

2. Eligibility & Prohibited Jurisdictions

You represent and warrant that you are at least 18 years of age and have the full right, power, and authority to enter into this agreement.

Restricted Persons: Access to the Services is prohibited for any person or entity who is a resident of, or located in, the United States, China, North Korea, Iran, or any other jurisdiction where the use of prediction markets or crypto-derivatives is prohibited ("Prohibited Jurisdictions"). We reserve the right to use geo-blocking technology to enforce these restrictions.

3. Non-Custodial Nature of Services

Shkeme is a non-custodial interface. We do not have custody, possession, or control of your digital assets at any time.

• Wallet Auth: We use Privy.io to facilitate wallet creation. You retain sole control over your private keys and backup methods.
• Smart Contracts: All trades are executed directly between you and the smart contracts on the Base Blockchain. We cannot reverse, undo, or stop any transaction once signed.
• No Fiduciary Duty: We are not your broker, agent, or advisor. You are solely responsible for the safety of your wallet and funds.

4. Risk Disclosure

By using Shkeme, you acknowledge and accept the following risks:

• Market Risk: Prediction markets are volatile. The probability of an outcome can change rapidly, resulting in a total loss of your position.
• Smart Contract Risk: While we audit our code, bugs or exploits in the Gnosis Conditional Tokens Framework or our own contracts could result in loss of funds.
• Oracle Risk: We use the UMA Optimistic Oracle for market resolution. We are not responsible for incorrect resolutions, delays, or disputes handled by the UMA DAO.
• Regulatory Risk: New regulations could force us to restrict access or shut down the frontend interface at any time.

5. User Conduct & Social Features

Shkeme allows users to post comments and interact socially. You agree not to:

• Post content that is illegal, harassing, defamatory, or hateful.
• Engage in market manipulation, wash trading, or collusion.
• Use bots or automated scripts to spam the social feed (API trading is permitted).

We reserve the right to ban your address from the social frontend for violating these rules, though we cannot stop you from interacting with the blockchain directly.

6. Limitation of Liability

To the maximum extent permitted by law, Shkeme Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Services;
• Any conduct or content of any third party on the Services;
• Any unauthorized access, use, or alteration of your transmissions or content.

7. Governing Law & Arbitration

These Terms shall be governed by the laws of [Your Incorporation Jurisdiction, e.g., Panama/Cayman/Delaware]. Any dispute arising from these Terms shall be resolved through binding arbitration. You waive your right to participate in a class action lawsuit.
